The Senior Counsel will be expected to quickly master and own their work at Tivity Health's Nutrition Business Unit supporting the Nutrisystem and South Beach Diet brands. The Senior Counsel must operate independently and create strategies and drive plans to provide legal support that is business-focused and user friendly. The Senior Counsel must have an understanding of what it means to work inside a public company and how best to support our internal business clients who have the day-to-day challenges, as well as the highs and lows of running our company. The Senior Counsel must form strong alliances with the business, will be expected to be resident in the company's corporate offices in Fort Washington, Pennsylvania, and may be required to travel, from time to time, to company's other offices in Chandler, Arizona and corporate headquarters in Franklin, Tennessee.

The full-time Senior Counsel will serve as counsel for our Nutrition Business Unit working closely with our marketing department at the Fort Washington, PA offices. The Senior Counsel must have significant experience in marketing/advertising compliance for a large direct-to-consumer product/services company including FTC Truth in Advertising and endorsement review of all advertising (print, email, website, text, direct mail, radio, TV, social media and sweepstakes) and marketing law compliance with TCPA, TSR, CAN-SPAM, UDAAP, CFPB and federal/state privacy laws. Some experience with FDA compliance including food and beverage product labeling is also desired. Experience managing a domestic/international trademark portfolio is helpful.

The Senior Counsel will be a member of the Legal Department reporting to the Deputy General Counsel and will be expected to lead in a transformational way and execute exceptionally well on a transactional basis, provide strategic leadership on various areas of law relating to our business. This position creates opportunity for the Senior Counsel to learn, grow and develop based on the amount and range of responsibility.

The Senior Counsel must have a great attitude and a can-do frame of mind, be a mature team player who can handle multiple tasks and a heavy workload with grace and self-assurance, and a sense of humor. The Senior Counsel must be energized by the challenge of a high level of responsibility and visibility in an intimate work environment in a dynamic, publicly-traded company. The Senior Counsel must be someone who can give the Deputy General Counsel and Chief Legal Counsel bad news early, along with recommendations for the fix.

The Senior Counsel will be required to be successful in a fluid, ever-changing environment with shifting priorities and demands; they will be expected to work on the go, be highly mobile and tech-savvy, and be available at all times via text, email, and telephone.

The Senior Counsel should have a driving need to achieve perfection in their work product, be ever curious, and have great interpersonal skills.

The Senior Counsel must be absolutely independent in using all office equipment and the Microsoft Office suite and fully comfortable with electronic documents, smart phones and devices, texting, and the online world.

The Senior Counsel must be a master of communication, able to create precise presentations and be sharp, clear, and effective with all verbal and written communications; he/she must have a keen sensitivity to audience.

Primary Responsibilities

  • Serves as lead marketing/advertising counsel for our Nutrition Business Unit responsible for marketing/advertising compliance including FTC Truth in Advertising and endorsement review of all advertising media (print, email, website, text, direct mail, radio, TV, social media and sweepstakes) and ensures compliance with applicable marketing laws (TCPA, TSR, CAN-SPAM, UDAAP, CFPB and federal/state privacy laws)
  • Reviews food and beverage product labels for FDA compliance
  • Review and responds to State Attorney General and BBB complaints
  • Assist with management of trademark portfolio including prosecution and enforcement
  • Assists with supervision of legal staff
  • Work on special projects assigned by the Deputy General Counsel or Chief Legal Officer. This project work normally involves research and recommendations on matters having company-wide significance
  • Plan strategies for solving various legal and business problems, as well as provide legal advice to management
  • Assist management in developing operational strategies and solutions relating to corporate policy

Qualifications

  • Bachelor's degree required
  • D. required, preferably from a law school of recognized standing
  • 6 - 10 years post law school experience, with at least 5 years law firm experience

Expectations

  • Strategic thinker with focus on practical client advice and the ability to advise on legal risks within a business context
  • Exceptional marketing/advertising compliance skills in support of a large direct-to-consumer product/services company
  • Exceptional client-focused support and service are required
  • Experience as an in-house corporate counsel is preferred
  • Experience planning, managing, and directing the development of regulations and operational policies, procedures, and guidance for the review of regulations
  • Ability to work independently and as a team member, while using discretion in decision-making and sound judgment in problem-solving
  • Ability to gather and analyze information to quickly formulate a legal analysis and recommendation
  • Effective time management skills and the ability to manage multiple tasks and priorities
